PUBLIC OFFER AGREEMENT

Individual Yulia Igorevna Demina, registered and operating as a taxpayer of the professional income tax (self-employed), hereinafter referred to as the “Seller”, on the one hand, publishes this Public Offer (hereinafter — the “Agreement”, “Offer”) for the sale of goods remotely through the online store located on the website https://yulyademina.com/ (hereinafter — the “Website”).
This Agreement, in accordance with Article 437 of the Civil Code of the Russian Federation (CC RF), is an official public offer. Full and unconditional acceptance of the terms of this Offer in accordance with Article 438 of the CC RF is deemed to be the placement by the Buyer of an Order on the Website and/or its payment.
1. GENERAL PROVISIONS
1.1. The Seller sells Goods through the Online Store.
1.2. By ordering Goods through the Online Store, the Buyer agrees to the terms of this Agreement. In case of disagreement with the terms, the Buyer must stop using the service and leave the Website.
1.3. The relations between the Buyer and the Seller are governed by the provisions of the Civil Code of the Russian Federation on retail sale and purchase, the Law of the Russian Federation “On Protection of Consumer Rights” dated 07.02.1992 No. 2300-1, and other legal acts of the Russian Federation.

2. SUBJECT OF THE AGREEMENT
2.1. The Seller undertakes to transfer to the Buyer’s ownership, and the Buyer undertakes to accept and pay for the Goods presented in the Online Store catalog on the Website.
2.2. The name, price, quantity of the Goods and other essential characteristics are determined on the basis of the Buyer’s Order placed on the Website.

3. PROCEDURE FOR PLACING AN ORDER AND PAYMENT
3.1. The Buyer independently places an Order on the Website by adding Goods to the “Cart” and filling out the order form.
3.2. The price of the Goods is indicated on the Website and does not include value added tax (VAT) due to the Seller’s application of the special tax regime “Professional Income Tax” (based on Federal Law dated 27.11.2018 No. 422-FZ).
3.3. Payment for the Goods is made by the methods available on the Website when placing the Order.
3.4. After payment is made, the Seller generates an electronic receipt in the “My Tax” application and undertakes to send it to the Buyer at the email address or phone number specified when placing the order.

4. DELIVERY OF THE GOODS
4.1. Delivery of the Goods to the Buyer is carried out by the methods indicated on the Website (courier delivery, postal services, pickup points).
4.2. Delivery times and cost are calculated individually and depend on the delivery region and the selected service.
4.3. The Seller’s obligation to transfer the Goods is considered fulfilled at the moment of transfer of the Goods to the Buyer or to the first carrier (transport company) for delivery.

5. RETURN OF GOODS AND REFUNDS
5.1. The Buyer has the right to refuse Goods of proper quality at any time before their transfer, and after transfer — within 7 (seven) days, provided that their presentation, consumer properties, and the document confirming the fact of purchase are preserved.
5.2. If the Buyer refuses Goods of proper quality, the Seller returns to him the cost of the Goods, except for the Seller’s expenses for delivery of the returned goods from the Buyer, no later than 10 days from the date of presentation of the demand.
5.3. Return of Goods of improper quality is carried out in accordance with the legislation of the Russian Federation.

6. RIGHTS AND OBLIGATIONS OF THE PARTIES
6.1. The Seller undertakes to:

Ensure the confidentiality of the Buyer’s personal data.
Transfer the Goods in accordance with the placed Order.

6.2. The Buyer undertakes to:

Provide reliable information when placing the Order (full name, delivery address, contacts).
Pay for and accept the Goods in a timely manner.
